Welcome to UniqueUmbrella. By accessing or using our website and services, you agree to comply with and be bound by the following terms and conditions. Please read them carefully before proceeding.

1. Verification and Exclusivity Policy

Mandatory Verification: The granting of any distributorship is strictly conditional upon successful verification. No distributorship will be awarded without the completion of the verification process. If the applicant fails to verify their identity or business documents (PAN, Aadhaar, GST), the application will be rejected.

City Exclusivity (One City, One Distributor): To maintain market exclusivity and minimize internal competition, the Company adheres to a strict "One City, One Distributor" policy. Only one distributorship license will be granted per city. Allocations are made on a first-come, first-served basis to qualified applicants who meet all verification criteria.

2. Financial Terms and Investment

By applying, you acknowledge and agree to the following financial structure:

Required Investment:
Brand Cost: A one-time payment of ₹2,50,000.
Security Deposit: A fully refundable deposit of ₹7,50,000.
Booking Amount: To secure a slot, applicants must pay 5% of the total amount plus a ₹5,000 verification fee.

Income Structure:
Guaranteed Income: The Company provides a fixed monthly payment of ₹40,000.
Commissions: Distributors earn an additional 3% commission on total product sales.

3. Agreement Duration

The standard agreement is valid for a period of 11 to 12 months.
The agreement is renewable upon mutual consent between the Company and the Distributor.

4. Operational Responsibilities

A. Company Obligations
Inventory: The Company will provide full stock and inventory with ongoing replenishment support.
Equipment: The Company will supply and maintain deep freezers and necessary storage equipment.
Support: Business setup, marketing support, and operational guidance are included from day one.

B. Distributor Requirements
To be eligible for approval, the Distributor must ensure the following are in place:
Documentation: Submission of valid PAN Card and Aadhaar Card.
Legal: A valid GST registration certificate.
Infrastructure:
A computer system with an active internet connection.
A mini generator for power backup to ensure uninterrupted operations.

5. Audits and Compliance

Initial Audit: A quality audit will be conducted 45 to 90 days after launch to review stock, financials, and sales targets.
Performance Reviews: Quarterly reviews will be conducted to ensure profit optimization and compliance for renewal.

6. Cancellation and Refunds

Non-Refundable Fee: The ₹5,000 verification fee paid at the time of booking is strictly non-refundable, regardless of whether the application is verified or approved.
Security Deposit: The ₹7,50,000 security deposit is fully refundable, subject to the terms of the final agreement.
